FACILITATOR TRAINING AGREEMENT SCHOOL OF ORYGEN™

1. Parties to the Agreement This Agreement is entered into between Elise Rose Small, trading as School of Orygen™ (ABN 26 753 790 462), hereafter referred to as the "Provider", and the individual enrolling in the training program, hereafter referred to as the "Participant". By completing the checkout process, submitting payment, or commencing an approved payment plan, the Participant formally accepts and agrees to be bound by all terms and conditions set forth in this document.

2. Program Enrolment and Nature of the Container The Participant is enrolling in the ORYGEN BREATHWORK™ Facilitator Training program. This program is a professional training container that encompasses educational, experiential, and practical facilitation components designed to train the Participant in the Orygen Breathwork™ methodology. Access to the program materials, community spaces, and training modules is granted exclusively upon the successful processing of the initial payment or the commencement of an approved payment plan.

3. Financial Commitment and Payment Obligations By entering into this Agreement, the Participant acknowledges that this is a legally binding financial commitment. The Participant agrees to pay the total program fee as selected at checkout, whether that is via a single payment in full or through an agreed-upon payment plan. The full program fee is owed in its entirety regardless of the Participant's completion of the program, their level of participation, or any changes in their personal or financial circumstances. Payment plans are structured agreements to pay the total fee over time; they are not subscriptions and cannot be paused, cancelled, or reduced under any circumstances. Payments will be automatically debited via the selected payment method on a recurring basis as established at checkout, and the Participant is solely responsible for ensuring that sufficient funds are available for these transactions.

4. Consequences of Missed Payments In the event that a scheduled payment fails, the Provider reserves the right to immediately suspend the Participant's access to all program materials, live calls, and community spaces until the outstanding balance is resolved. Continued non-payment or failure to communicate regarding arrears may result in the Participant's permanent removal from the program. Furthermore, the Provider reserves the right to initiate formal debt recovery action for the outstanding balance, and any additional fees or costs incurred during this recovery process will be the sole responsibility of the Participant.

5. Strict No Refund Policy All payments made toward the program are strictly non-refundable. Due to the immediate and comprehensive nature of this work, which includes instant access to proprietary intellectual property, extensive training materials, and deeply energetic frameworks, no refunds will be issued under any circumstances. A change of mind, unexpected financial hardship, or an inability to complete the program does not void this Agreement or entitle the Participant to a refund of any monies paid.

6. Protection of Intellectual Property All materials, frameworks, scripts, processes, recorded content, and methodologies provided within the ORYGEN BREATHWORK™ training are the exclusive and sole property of School of Orygen™. The Participant explicitly agrees not to copy, reproduce, distribute, teach, or replicate any of these materials without the express written consent of the Provider. Furthermore, the Participant agrees not to create derivative trainings, courses, or programs based on this proprietary work. The intellectual property is provided solely for the Participant's personal development and their eventual use as a certified facilitator, strictly within the boundaries defined by the Provider.

7. Certification Requirements The Participant acknowledges that certification as an ORYGEN BREATHWORK™ facilitator is not guaranteed simply upon enrolment or payment. To be formally recognised and certified, the Participant must successfully complete all required modules, demonstrate clear competency in facilitation, submit all required practical assessments, and consistently meet the ethical and embodiment standards set forth by the School of Orygen™. The Provider reserves the absolute right to withhold certification if these standards are not met to the Provider's satisfaction.

8. Participant Responsibility and Disclosure This training involves deep somatic practices, breathwork, and the exploration of non-ordinary states of consciousness. The Participant acknowledges that they are entirely responsible for their own physical, emotional, and psychological wellbeing throughout the duration of the program. The Participant agrees to disclose any relevant medical, psychological, or psychiatric conditions to the Provider prior to participation. The Participant innerstands that this training is an educational and energetic container, and it is not a substitute for professional medical, psychiatric, or psychological diagnosis, treatment, or therapy.

9. Code of Conduct and Community Standards The Participant agrees to engage respectfully, ethically, and constructively within all group spaces and interactions associated with the program. The Participant must maintain the strict confidentiality of all other participants, ensuring that personal shares and experiences remain within the container. The Participant is expected to show up with integrity and radical personal responsibility. The Provider reserves the right to remove any Participant from the program, without refund, if they breach these standards or engage in conduct deemed harmful or disruptive to the container.

10. Termination of Access The Provider may terminate the Participant's access to the program at any time if payment obligations are not met, or if the Participant's conduct is deemed harmful, unethical, or fundamentally misaligned with the values of the container. Termination of access by the Provider does not remove, reduce, or void the Participant's financial obligation to pay the total program fee in full.

11. Limitation of Liability To the fullest extent permitted by Australian law, Elise Rose Small and School of Orygen™ shall not be held liable for any personal injury, whether physical, emotional, or psychological, arising directly or indirectly from participation in this training. Furthermore, the Provider makes no guarantees regarding specific business outcomes, client acquisition, or income generated by the Participant post-certification.

12. Governing Law and Jurisdiction This Agreement shall be governed by and construed in accordance with the laws of New South Wales, Australia. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of New South Wales.

13. Formal Acceptance of Terms By proceeding with enrolment and submitting payment, the Participant formally confirms that they have read, innerstood, and agreed to all terms and conditions outlined in this Agreement. The Participant acknowledges that this action serves as a legally binding digital signature, confirming their acceptance of full financial responsibility and their commitment to the standards of the ORYGEN BREATHWORK™ training container.

TERMS AND CONDITIONS

Please read these Terms and Conditions carefully before purchasing, enrolling in or participating in any services, trainings, programs, courses, certifications, events or digital products offered by School of Orygen™.

By accessing, enrolling in, purchasing, or participating in any offering, you acknowledge that you have read, understood and agree to be legally bound by these Terms and Conditions.

1. PARTIES

Throughout these Terms and Conditions:

  • “You”, “your”, “participant”, “student” or “client” refers to the individual purchasing, enrolling in or participating in any School of Orygen™ offering.

  • “School of Orygen™”, “the School”, “we”, “us” or “our” refers to School of Orygen™, operated by Elise Rose Small, ABN 26 753 790 462, founder and lead instructor.

  • Elise Rose Small may be referred to as “the facilitator”, “educator”, “trainer”, “coach” or “founder” where relevant.

2. SCOPE OF APPLICATION

These Terms and Conditions apply to all School of Orygen™ offerings, including but not limited to:

  • In-person and online events

  • Breathwork journeys and experiential sessions

  • Educational programs and courses

  • Facilitation and certification trainings

  • Mentorships and group programs

  • Digital content, recordings, workbooks, manuals, frameworks, videos and audios

  • Applications, onboarding processes and assessments

  • Any associated platforms including Kajabi, Humantix, EventBrite, Acuity Scheduling, Calendly, payment gateways and email systems

By enrolling, you agree that these Terms form a binding agreement governing your participation.

3. PARTICIPANT ELIGIBILITY & OBLIGATIONS

3.1 You confirm that you are 18 years of age or older, unless explicit written consent has been provided by a legal guardian and approved by School of Orygen™.

3.2 You agree to fully and honestly disclose any medical, psychological or physical conditions that may impact your participation.

3.3 You acknowledge that breathwork, somatic practices, emotional processing and experiential learning may elicit physical, emotional, psychological or spiritual responses and that outcomes vary between individuals.

3.4 You accept full personal responsibility for your wellbeing, integration, decision-making and actions during and after participation.

3.5 You agree to conduct yourself with integrity, respect, confidentiality and maturity in all School of Orygen™ spaces.

4. EDUCATION, TRAINING & CERTIFICATION DISCLAIMER

4.1 School of Orygen™ provides professional education, facilitation training and private certification in breathwork, somatic and embodied leadership practices.
Nothing offered constitutes medical, psychological, psychiatric, legal or financial advice, diagnosis or treatment.

4.2 Participation in any training or certification does not guarantee income, employment, licensure, accreditation or business success.

4.3 You acknowledge that certification issued by School of Orygen™ signifies successful completion of the School’s curriculum and assessment requirements and does not constitute government licensure, statutory accreditation, medical qualification or legal authority to practice in regulated professions.

4.4 You are solely responsible for understanding and complying with all laws, regulations, professional standards and insurance requirements applicable in your country or jurisdiction.

5. PAYMENTS

5.1 Prices, inclusions and payment terms are clearly outlined on the relevant sales page or booking platform.

5.2 Full payment is required at the time of booking unless a payment plan has been formally agreed to in writing.

5.3 All prices are exclusive of GST unless stated otherwise. You are responsible for any applicable GST, transaction fees, currency conversion fees or platform charges.

5.4 Failure to complete payment plans may result in suspension or termination of access without refund.

6. REFUNDS, CANCELLATIONS & TRANSFERS

6.1 All purchases are final and non-refundable, except where required by Australian Consumer Law.

6.2 No refunds are provided for:

  • Change of mind

  • Inability to attend

  • Personal circumstances

  • Partial completion

  • Failure to complete assessments or requirements

6.3 Credits or transfers are issued solely at the discretion of School of Orygen™ and may be subject to expiry.

6.4 School of Orygen™ reserves the right to cancel, postpone or modify any offering due to unforeseen circumstances.

7. INTELLECTUAL PROPERTY (CRITICAL CLAUSE)

This clause is non-negotiable.

7.1 All intellectual property associated with School of Orygen™, including but not limited to:

  • Course materials

  • Training frameworks

  • Facilitation methodologies

  • Breathwork structures

  • Language, concepts, curriculum design

  • Manuals, workbooks, recordings, videos, audios

  • Brand assets, trademarks, logos and naming conventions

remain the sole and exclusive property of Elise Rose Small / School of Orygen™.

7.2 No license, ownership or right of reproduction is granted to you.

7.3 You may not:

  • Copy, reproduce, adapt, teach, sell or distribute any materials

  • Use School of Orygen™ content to create derivative programs

  • Record, screenshot or replicate content

  • Represent School of Orygen™ frameworks as your own

7.4 Breach of this clause constitutes intellectual property theft and may result in:

  • Immediate termination

  • Revocation of certification

  • Legal action

  • Financial damages

7.5 You retain ownership of your personal reflections and original participant materials only, provided they do not reproduce proprietary content.

8. CONFIDENTIALITY & COMMUNITY SAFETY

8.1 All shared experiences, discussions and personal disclosures within School of Orygen™ spaces are strictly confidential.

8.2 Breach of confidentiality may result in immediate removal without refund.

9. MEDIA RELEASE

9.1 You consent to photography, video, audio or digital recordings during participation.

9.2 School of Orygen™ may use media for marketing, education and promotional purposes.

9.3 You waive all rights to ownership, review or approval of such media.

10. RISK ACKNOWLEDGEMENT & LIABILITY WAIVER

10.1 You acknowledge that participation involves inherent risks.

10.2 To the fullest extent permitted by law, you release and indemnify Elise Rose Small and School of Orygen™ from all claims arising from participation.
